A pre-order is an advance purchase of software that does not exist yet. It is not an investment, it buys no share of anything, and nothing here removes a right your own law gives you.

01Who you are dealing with

These terms are between you and Atheron Network Inc., a company incorporated in British Columbia, Canada.

By using this site, reserving a place in the Launchpad, or subscribing, you agree to these terms. If you do not agree to them, do not do those things.

When you pay by card, Apple Pay, Google Pay or Link, for a pre-order or a subscription, Stripe, through Link, LLC, a Stripe company, sells you that payment as its merchant of record: Stripe charges you, works out and collects the tax, bills a card subscription's renewals, and handles that payment's refunds and disputes, under its own terms for the sale. We still provide what you bought, under these terms. When you pay in crypto, by Interac e-Transfer or by pre-authorized debit, we are the seller.

02What the product is

Atheron Trading is software that reads public market data, forms a view, and places orders through the interface of an exchange where you already hold an account. It is a tool. You decide whether to run it, on what, and within what limits.

It is not advice. Nothing the software produces is a recommendation, and no part of this agreement makes us your adviser, broker or fiduciary. Automated trading carries real risk, including the loss of everything you put at risk. Read the risk disclosure before you run anything.

03What we never do with your money

We do not hold your funds at any point. They stay in your own account at your own exchange, under your own login and your own controls. We do not transmit or remit funds between people, exchange one currency for another, cash cheques, or issue or redeem anything spendable.

The one payment we take is yours to us, for our own products, as the pre-order terms describe. Converting a crypto payment we have received is something we do with our own money, not a service to you.

The access you grant is trading permission, created by you at your exchange and revoked by you at your exchange, without asking us. Withdrawal rights are never part of it and we will never ask for them. See the risk disclosure for what that does and does not protect you from.

04Pre-ordering through the Launchpad

  • A reservation holds a place at the tier you chose. Nothing is charged when you reserve, and you may release the place at any time before you buy it.
  • Payment is taken when you buy: in the 48-hour early-access sale for what you reserved, or in the open sale after it. You pay by card, Apple Pay, Google Pay or Link, sold by Stripe as clause 1 says, in crypto, or by Interac e-Transfer in Canada. What you are buying is months of access to software, at a price fixed in advance, plus whatever else that tier lists.
  • A pre-order is not an investment, a security, a share of revenue or a stake in anything. Its value does not rise or fall with how the business performs.
  • Tiers with a stated limit are limited worldwide. Once a limit is reached it is reached, and we will not quietly raise it.

How the sale runs, how you pay, when access begins and what happens if we are late are set out in the pre-order terms, which win over these terms for a pre-order. Your right to change your mind is set out in the refund policy, which differs by country and states which rights you have that we cannot remove.

05Your account and your conduct

  • You are responsible for your credentials and for anything done with them.
  • One account per person. Do not share it, resell access, or run it on behalf of somebody we have refused.
  • Do not use the product to break the rules of your exchange, to manipulate a market, or to do anything unlawful where you are.
  • Do not attempt to extract, copy or reverse the models. They are ours and they do not leave hardware we control.

06Where we will and will not sell

We do not sell everywhere. Some countries are refused under sanctions and some prohibit this kind of product outright. The current position, country by country, is on the where we sell page. Where a package's seats are shared out by country, where you live is proved before a seat is held rather than after money changes hands.

07What we promise, and what we do not

We will provide the product with reasonable care and skill. We do not promise that it will make you money, that it will be uninterrupted, or that it will be free of error, and no part of this agreement should be read as a promise about what you will make.

Markets, exchanges and networks fail in ways nobody controls. Where an exchange is down, rejects an order, or prices something in a way we did not expect, that is the risk of trading and not a defect in this product.

08Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, our total liability to you is limited to what you paid us in the twelve months before the claim.

We are not liable for trading losses. That is not a disclaimer of responsibility for the software working as described; it is a statement that the market is not ours to be responsible for.

09Ending it

You may stop using the product at any time and revoke its access at your exchange without telling us. We may suspend or end an account that breaks these terms, is used unlawfully, or belongs to somebody we are not permitted to serve, and we will say which.

10Changes to these terms

We will change these from time to time. Material changes are notified to the address on your account before they take effect, and the date at the top of this page always says when it last moved. Continuing to use the product after a change means you accept it; if you do not, stop using it and ask about a refund under the refund policy.

11Law and disputes

These terms are governed by the law of British Columbia, Canada, and disputes are heard by the courts of British Columbia, Canada.

If you are a consumer, this does not take away the protection of the mandatory law of the country you live in, or your right to bring a claim there.
