A pre-order buys months of access to software that is not available yet, at a price fixed now. Access begins no later than 31 December 2028. You have 7 days to change your mind, and more where your own law gives you more. If we miss that date, you can cancel and get back everything you paid. A pre-order is not an investment, and nothing here removes a right your own law gives you.

These terms are between you and Atheron Network Inc., a company incorporated in British Columbia, Canada. We trade as Atheron Network Inc., at aton-trading.com, and “we” and “us” below mean Atheron Network Inc.

02What these terms cover

  • These terms cover buying a package on the Launchpad: reserving, the early-access sale, the open sale, paying, and what you get.
  • They sit alongside our Terms, which cover the site and the software itself, our Refunds policy, the Risk disclosure, our Privacy notice and Where we sell. The refund policy is part of your contract with us.
  • If these terms and the general Terms disagree about a pre-order, these terms win.
  • If you are a consumer, nothing in any of them takes away a right the law where you live gives you and that cannot be given up by contract. Where your law gives you more than we do, you get what your law gives you.

03What you are buying

A package is an advance purchase of access to our trading software. It is paid for now and delivered when access begins. Nothing is supplied before then.

Each package also comes with the perks listed for it on the Launchpad page. The perks shown there when you buy are the ones you get.

How the included months work. Included months begin on the day access begins, the same day for everyone, and run from then whether or not you start using the software that day. If you hold more than one package, they run back to back, not side by side: the highest plan first (Aurora before Arctic), then in the order you got them, each starting when the one before ends. Two Permafrost give you Arctic for 12 months. A package you get after access begins starts when your last one ends.

When the included months end. Nothing is charged automatically. You choose whether to subscribe, and if your package carries a lasting discount, it applies to that plan when you do. No package rolls into a paid plan by itself.

“For life” means for as long as you keep your account and we offer that plan.

What a pre-order is not. It is not an investment, a security, a share of revenue or a stake in anything. Its value does not rise or fall with how the business performs. It gives you no right to trade with real money before access begins: until then, the software trades on paper only, for everybody.

One account. A package is added to the account that bought it, and stays with that account, unless you bought it as a gift (section 13).

04When access begins

Access begins no later than 31 December 2028, for every package. That is the date in your contract. We will tell you the actual day in advance by email.

Access begins when the software is available to you under your package's included plan, able to connect to your exchange account and place orders, and your included months have started.

We cannot move that date on our own. If we ever need more time, we will ask you to agree to a later date. You can say no, and saying no never costs you anything: clause 5 still applies to you.

05If we miss that date

  • If access has not begun by the end of 31 December 2028, you can cancel your pre-order at any time until access begins, and we refund everything you paid, in full, with no fee of any kind. This is our promise wherever you live.
  • If we decide not to launch, or we wind down before launch, we refund everything paid, whether or not you ask. That is an obligation, not a goodwill gesture.
  • In some places the law also lets you set us a further deadline to deliver, and end the contract if we miss it, or gives you other remedies. Those remain yours.
  • If you live in Ohio or California, we will send you any notice about delay that your state's law requires, and it will offer you a refund.

06Who can buy

  • Age. You must be at least 16 to hold an account, and an adult where you live to buy a package. We check this from the date of birth your verification proved, or the one you gave us if you have not verified.
  • Email. You need a confirmed email address to buy, because your receipt and every notice about your order go by email.
  • Where you live. We sell only to people who live in a country we sell to. Where we sell lists every country and why some are refused.
  • Proving where you live. Where you live is proved by a Bedrock verification with an approved proof of address, and by nothing else. With that proof, the country on it, and in Canada and the United States the province or state, decide your price band, your seats, your tax and your refund rights. Without it, you are priced at band A, and your tax and refund rights follow the billing address you give at checkout. Giving a billing address where you do not live is a breach of these terms, and we may cancel the order and refund it.
  • Deep Freeze and Absolute Zero. Their seats are shared out by country, so they are for members verified to Bedrock whose proof of address shows where they live. Every member can buy Frostbyte and Permafrost.
  • Quebec. We sell the pre-order to people who live in Quebec only once we have opened it there, and the checkout says whether we have. Section 19 sets out the terms that apply when we sell to you in Quebec.
  • Tax. Where your place requires us to charge tax and we are not yet registered to collect it there, we cannot sell to you there yet. The checkout says so rather than selling to you untaxed.
  • For yourself. You buy for your own account and your own use. You may not resell a package or the access it gives.

07How the sale runs

The sale has four phases. The times are set by us, shown in Pacific time (Vancouver), and announced by email to everybody who reserved.

  • Reservations. Reserving is free. Nothing is charged and no payment details are taken. A reservation holds your place and puts you on the list for the early-access sale. We email you when it starts. For Deep Freeze and Absolute Zero, a reservation holds real seats from your country's allocation, up to 10 of each per member. You can change or release a reservation while reservations are open.
  • Early access: 48 hours. Only members who reserved can buy, and only up to what they reserved. At the end of the 48 hours, any reservation you have not bought is released: its seats go back to the pool and it leaves your account.
  • The open sale. When early access ends, the sale opens to every eligible buyer, first come, first served, within the limit of 10 per member for the restricted packages. It runs until we close it.
  • Closed. No new orders.

Seats by country. Deep Freeze and Absolute Zero are limited worldwide to 99,773 and 16,646. Each country we sell to has its own share. During early access, a small share of each country's seats is set aside for buyers who use a creator's code and hold no seats of their own; any of those not taken go back to the pool when the open sale starts. Until a date we announce, you can buy only from your own country's share. From that date, any unsold seats anywhere are pooled, and anyone eligible can buy from the pool. Once a worldwide limit is reached, it is reached, and we will not quietly raise it.

While you pay. When you place your order, it and any seats in it are held for 30 minutes while you pay by card or crypto, or for 24 hours after we send an Interac e-Transfer request. If the payment does not arrive in that time, the order ends and any seats go back.

08Prices, discounts and tax

  • Currency. Every price is in Canadian dollars (CAD), for everyone.
  • Your band. Prices depend on where you live, in five bands: A pays the full price, B 80%, C 60%, D 40% and E 25%, rounded up to the whole dollar. The pricing page shows which band each country is in. A band below A needs where you live proved, as clause 6 says; otherwise you pay band A.
  • Bedrock. Members verified to Bedrock pay a further 10% less on packages, rounded up to the whole dollar.
  • Creator codes. A creator code takes 10% off every package in the first order you place with a code. See clause 12.
  • Tax on a card payment. A payment by card, Apple Pay, Google Pay or Link is sold by Stripe, as clause 9 says. Stripe works out the tax for where you live on its checkout page, adds it to the price after any discount, and shows the total before you pay. Stripe's receipt shows the tax it charged.
  • Tax on a crypto or e-Transfer payment. We are the seller of these. Where we are required to charge tax, the checkout and your receipt show each tax as its own line, with its rate: the federal tax, and the state, provincial or regional tax where there is one. Where a province charges one harmonized sales tax, it is one line, for example HST 13%. Where your law expects a price to include tax, the checkout shows it with the tax included. Tax is worked out on the price after any discount, at the rates in force when you place the order.
  • No other fees. The total shown before you pay, on our checkout or for a card payment on Stripe's, is what you pay. The only other costs are ones your own providers charge you: the network fee to send a crypto payment, anything your bank charges for an e-Transfer, and any foreign exchange or other fee your card issuer adds to a payment.
  • Your price is fixed when you place the order. It does not change because you travel or move afterwards. If you buy at band A and later prove you live in a country with a lower band, we do not refund the difference, unless you are still inside the time your law gives you to change your mind. Prove where you live first if you would rather not find out.

09Paying

We take three kinds of payment. The checkout shows the ones open to you.

Cards, Apple Pay, Google Pay and Link, sold by Stripe

  • Stripe is the seller. A payment by card, Apple Pay, Google Pay or Link is a sale by Stripe, through Link, LLC, a Stripe company, which is the merchant of record for it: Stripe charges you, works out and collects the tax, and handles that payment's refunds and disputes. We provide what you bought, and these terms still say what that is and what we promise. Stripe's own terms for the sale apply to the payment.
  • Offered in every country we sell to where Stripe sells. In Quebec, only a credit card is accepted while we sell there by credit card only (section 19). Apple Pay, Google Pay and Link appear where your device, browser and country offer them.
  • After you press Order with obligation to pay on our checkout, you pay on Stripe's secure checkout page. Your card number never reaches us: Stripe tells us only the card's brand, its last four digits, the tax it charged and whether the payment went through.
  • Prices are in Canadian dollars. Stripe may show and charge the price in your own currency, at its rate, and says so before you pay.
  • Security checks. Stripe screens every payment for fraud, may ask your bank to confirm it with 3D Secure, and may decline a payment it judges risky.
  • Your acceptance is recorded. Before you pay, you accept these terms, the refund policy and our privacy notice. We keep a record of that acceptance with your order: the versions you accepted, the time, and the network address and device you placed the order from.
  • Receipts. Stripe emails you its receipt for a card payment, with the tax it charged. We email you a receipt of your order as well.
  • Disputes. If you dispute a card payment with your bank, Stripe, as the seller, answers it. A refund you are owed never needs a dispute: ask through your order page, as clause 11 says.

Crypto, everywhere we sell

  • Choose one of the tokens and networks the checkout lists. We do not accept USDT. Every payment is converted to USDC when it arrives.
  • The checkout shows an address, an exact amount and, for some tokens, a memo or tag. The amount is held for 15 minutes.
  • Send exactly that amount, on that network, to that address, with the memo or tag if one is shown. A payment sent on a different network may never arrive, and we may not be able to recover it.
  • Up to 0.5% short still counts as paid in full. If you send more than 0.5% too little, send the rest to the same address before the payment's time runs out. If it does not arrive, we send back what you sent. For tokens with a memo or tag, only the exact amount with the right memo or tag is recognised automatically.
  • If you send more than 0.5% too much, your order is paid and we send back the extra.
  • If your payment arrives late, your order still goes through if its seats are still there. If not, we send back what you sent.
  • Money we send back because it could not pay for an order goes back in USDC, less the network fee for sending it, except where your law says it must be free. The Refunds policy explains how.
  • Crypto payments cannot be reversed by your bank or by us. Check the address, network and amount before you send. We will never ask you to send crypto by email, chat or phone.

Interac e-Transfer, in Canada only

  • For members verified to Bedrock whose proof of address shows a Canadian province or territory. In Quebec, only once we open every way to pay there (section 19).
  • You give us your full name exactly as it appears on your personal bank account, the email address your bank sends e-Transfers to, and a Canadian mobile number. The name must match your verified name.
  • We send an Interac e-Transfer money request from our bank within 3 hours, between 8 am and midnight Pacific time (Vancouver), 7 days a week. Orders placed overnight are sent from 8 am.
  • You then have 24 hours to accept the request from a personal bank account in your own name. If it is not paid in that time, the order ends, nothing is taken, and the seats go back.
  • If we have not sent the request within 24 hours of when it was due, the order ends and nothing is taken.
  • A payment from a different name, or that does not match the order, is held while a person checks it. If it cannot be matched to you, we send it back in full.
  • One e-Transfer order can be up to CA$9,000 including tax. Pay larger carts by card or crypto, or split them into several orders.
  • Interac and e-Transfer are trademarks of Interac Corp.

10When your order becomes a contract

  • Before you pay, the checkout shows you what you are buying, the total (with each tax line for crypto or e-Transfer; for a card payment Stripe adds the tax on its page), the date access begins by, and what you can get back and when, for where you live. You accept these terms, the refund policy and our privacy notice there, however you pay.
  • You then place the order with the button Order with obligation to pay. For a card payment, you then pay on Stripe's checkout page.
  • Your order becomes a contract when your payment is confirmed. We then email you a confirmation with your receipt (and our tax invoice where we are the seller), and these terms, the refund policy and the withdrawal form as files you can keep.

Until your payment is confirmed you can walk away: an unpaid order simply ends and nothing is taken.

We email you at each step of an order from orders@billing.aton-network.org, and the order page in your members portal shows each step as it happens. Please add that address to your contacts so our mail does not land in spam.

11Changing your mind, and refunds

In short:

  • 7 days, everywhere. Ask within 7 days of the moment we confirm your payment and you get your money back. No reason needed.
  • Your law, where it gives more. In many places the law gives longer, or starts the clock only when access begins. You get whichever ends later.
  • Missed date. If access has not begun by 31 December 2028, you can cancel for a full refund, as clause 5 says.
  • How money comes back. Card, Apple Pay, Google Pay and Link payments are refunded by Stripe, the seller, to the card or account that paid. Crypto payments are refunded in USDC, to a USDC address you give us when you ask, not to the address you paid from. The network fee for sending it, about 0.10 to 1.50 USDC, comes out of the refund, except where the law says a refund must be free. e-Transfer payments are refunded by e-Transfer in CAD, to the email address on your order.
  • The change-of-mind fee. A refund of an e-Transfer payment because you changed your mind carries a fee of 5.9% of the amount refunded plus $0.90, shown to you before you pay. It is never charged where the law where you live says a refund must be free. We add no fee of our own to a card refund.
  • What the law requires is always paid in full. A refund you are owed by law, including for a missed access date, never carries our fee, and we pay any network fee.
  • How to ask. For a crypto or e-Transfer payment, from the order in your members portal, where you will also find a “Withdraw from contract here” button. We review a request within 2 business days and send the money within 3 business days of approving it, or faster where your law requires. For a card payment, the order page links you to Stripe, which handles the request as the seller, under these rights and your law.

12Creator codes

  • Creators we approve have their own codes. Using one takes 10% off every package in your first coded order, once per person, ever.
  • A code you give when you reserve is kept with your reservation and used when you buy it.
  • You cannot use your own code, or a code on an order made from a quote from our sales team.
  • The code stacks with Bedrock's 10%.
  • The creator whose code you use earns a commission on that order. That costs you nothing: your price is the same as it would be with no commission.
  • If you get a refund, the creator's commission on it is taken back.

13Gifts and credit

  • Who can give and receive. You can buy a pre-order package as a gift if you are verified to Core or above. The person you give it to needs Core to claim it, and Bedrock with proof of where they live to claim Deep Freeze or Absolute Zero. They must be somebody we may sell to: old enough where they live, in a country we sell to, and not suspended. Subscriptions cannot be given.
  • The price. You name the country the person lives in and pay that country's price, less your own Bedrock 10% if you have it. Tax is charged where you live. A seat of a limited package is taken in that country when you order, and if it has none left, the gift cannot be bought.
  • The link. After you pay, you get a claim link to send any way you like. It works once. If nobody claims the gift within 90 days, it comes back to you, and you can cancel it before it is claimed and keep it. A gift you could not have bought at that price for yourself (a lower price than yours, or a limited package without your proof of address) comes back as credit on your account for what you paid, instead. Its membership number goes with the package.
  • If they live somewhere priced higher. A gift bought at the standard price is claimed as it is. A gift bought at a lower price is claimed as it is when the person proves they live in that country or somewhere priced the same or lower. If they prove they live somewhere priced higher, or prove nowhere, we ask you to pay the difference. If you do not within 14 days, the gift becomes credit on their account for what you paid before tax, and its seat goes back on sale. The tax you paid is not credit.
  • Limits. Up to 10 of each of Deep Freeze and Absolute Zero per account, counting gifts. A gift counts toward your limit until it is claimed, and toward the other person's after.
  • Refunds. You can have a gift refunded under section 11 only before it is claimed. Once it is claimed it belongs to the person who claimed it, and neither the gift nor its top-up is refunded to you. They can give it back within the refund window for credit on their own account, for what was paid for it before tax.
  • Credit. Credit comes off the price of anything we sell, before tax, by any way of paying. It never expires and is never paid out as money. If something paid partly with credit is refunded, the credit part comes back as credit.

14Long packages

Some countries let a consumer end a long contract early and get back the unused part, or limit how long a contract can bind you. Where your law gives you that for a package, you have it, and we will work out the refund of the unused part as your law requires.

15If something is wrong with what we supply

  • We will supply the software with reasonable care and skill, and as we describe it. The general Terms say what we do and do not promise about how it performs, and the Risk disclosure says what can go wrong with trading.
  • In the European Union, and in other places with similar rules, the law gives you the right to a digital service that conforms to the contract. That right is yours and these terms do not limit it.
  • In Australia, our services come with rights under the Australian Consumer Law that cannot be excluded. In New Zealand and the United Kingdom, your statutory rights as a consumer apply in the same way.
  • Nothing in these terms limits our liability for anything the law does not allow us to limit. The cap on liability in the general Terms never reduces a refund we owe you.

16Complaints

Write to us with your order number. We answer within 5 business days. In Colombia, we give you a filing number for your complaint, and you may also go to the Superintendencia de Industria y Comercio.

17Law and disputes

These terms are governed by the law of British Columbia, Canada, and disputes are heard by the courts of British Columbia, Canada. If you are a consumer, this does not take away the protection of the mandatory law of the place you live, or your right to bring a claim there. If you are a consumer who lives in Quebec, section 19 applies to you instead.

18Changes to these terms

We may change these terms for future orders. A change never makes an order you have already paid for worse for you, unless the law requires the change. The terms that apply to your order are the ones in your confirmation email. The date at the top of this page says when they last changed. If you are a consumer who lives in Quebec, section 19 says how a change applies to you.

The members portal sends these terms with every order confirmation as a file you can keep, together with the refund policy and the withdrawal form.

19If we sell to you in Quebec

These clauses apply when you are a consumer who lives in Quebec and we sell you a pre-order. Where they differ from the rest of these terms, they prevail for you.

  • When we sell there. The pre-order opens in Quebec only when we open it there, which the checkout says. Until then, nothing can be reserved or bought from Quebec.
  • Paying. While we sell the pre-order in Quebec by credit card only, you pay by credit card on Stripe’s checkout page and by nothing else, as the Consumer Protection Act requires before delivery. A payment made with a debit or prepaid card is refunded to you in full, and the order stays unpaid. Once we open every way to pay there, the rest of section 9 applies to you as to everyone.
  • Before you order. Before you order, the checkout shows you the information the Consumer Protection Act requires for a distance contract, which you can print or save, and lets you accept, change or decline the order.
  • Your copy. We email you your contract, as files you can keep, within 15 days of the contract.
  • Cancelling. You may cancel within 7 days of our confirming your payment, for any reason; within 7 days of receiving your copy, if the required information was missing from it; and within 30 days of the contract, if you did not receive a copy within 15 days. If access has not begun within 30 days after the date we promised, you may cancel at any time until it begins. We refund you within 15 days of your cancelling; if we do not, your card issuer must reverse the charge at your request.
  • Our liability. The limits on our liability in these terms and in the general Terms apply to you only as far as the Consumer Protection Act and the Civil Code of Québec allow them, and they never reduce what you are owed under that law.
  • Changes. We do not change, on our own, a term of a contract you have already made with us. A change to these terms applies only to orders you place after it.
  • Language. You are shown these terms in French first. You may ask to read them and contract in English, and we record that you asked.
  • Law and courts. The law of Quebec governs your contract with us, and you may bring a claim before the courts of Quebec. Section 17’s choice of the law and courts of British Columbia does not apply to you.
  • Your rights. Nothing in these terms takes away a right the Consumer Protection Act or the Civil Code of Québec gives you.
